Terms & Conditions

1.1 Eligibility: You must be at least 18 years of age and capable of forming a legally binding contract to utilize our Platform. If you are registering on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

1.2 Account Security: You are responsible for preserving the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or breach of security.

1.3 Platform Integrity & Prohibited Conduct: Users shall not: (a) employ the Platform for any unlawful, deceptive, or fraudulent purpose; (b) distribute malware, viruses, or any other harmful code; (c) attempt to reverse-engineer, scrape, or improperly access Platform infrastructure; or (d) infringe upon the intellectual property rights of Groveda Global Private Limited or any third party.

2.1 Transactions & Execution: When purchasing a product, Customers enter into a direct contractual relationship with the individual Vendor. We merely provide the technological infrastructure to process the payment and communicate order details.

2.2 Product Accuracy: We do not warrant that product descriptions, specifications, or other content provided by Vendors are accurate, complete, or error-free. It is your responsibility to verify product details before purchase.

2.3 Returns, Refunds, and Disputes: Customers must submit refund requests in accordance with our overarching Return Policy timeline. Disputes regarding product quality or fulfillment must first be attempted to be resolved directly with the Vendor. We reserve the right, but not the obligation, to mediate unresolved disputes at our sole discretion.

3.1 Store Operations & Compliance: Vendors hold full liability for the items uploaded, listed, and sold via their storefront. This includes ensuring items comply with all designated safety, consumer, and trade laws within the applicable jurisdictions. Unsellable, counterfeit, or prohibited items (including hazardous materials and pirated goods) are strictly banned.

3.2 Fulfillment & Customer Service: Vendors are required to fulfill orders promptly within the timeframe specified in their respective shipping policies. Vendors must respond to customer inquiries and resolve issues professionally. Failure to meet fulfillment metrics may lead to account suspension or termination.

3.3 Commission, Fees, & Payouts: Groveda Global Private Limited retains a predetermined commission fee on all completed sales transacted through the Platform. Remaining funds are remitted to the Vendor pursuant to our standard scheduled payout cycle, subject to any chargebacks, refunds, or held reserves necessary for dispute resolution.

4.1 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GROVEDA GLOBAL PRIVATE LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM. Our aggregate liability to you shall not exceed the total fees paid by you to us during the three (3) months preceding the claim.

4.2 Indemnification: You agree to defend, indemnify, and hold harmless Groveda Global Private Limited, its affiliates, directors, and employees, from any claims, damages, obligations, or expenses (including attorney's fees) arising from your violation of these Terms, your interaction with other users, or your violation of any third-party rights.

4.3 Governing Law & Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Groveda Global Private Limited is registered, without regard to its conflict of law provisions. Any legal action or dispute shall be resolved exclusively in the competent courts within that jurisdiction.
